Terms of Service

1. Definitions
In these Terms, "Service" refers to the AI-assisted development service provided by DevLoop Runner; "User" refers to an individual or entity using the Service; "Credentials" refers to API keys, OAuth tokens, auth.json files, and other information used to access third-party services; "Generated Content" refers to code, documentation, and other content generated by AI through the Service.
2. Acceptance of Terms
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
3. Service Description
The Service provides AI-assisted development tools. Key features include: automatic Pull Request generation from GitHub Issues (Dev Run), automatic Issue creation through repository analysis (Issue Run), and automatic code correction based on Pull Request comments, among others. The Service uses Credentials registered by Users to access AI services such as OpenAI and Anthropic to automate code generation, modification, and testing. Service content, features, and specifications may change without prior notice.
4. Account Management
You must provide accurate and current information and promptly update registration information when changes occur. You must not disclose your account information (email address, password, etc.) to third parties and bear full responsibility for account management. If unauthorized use of your account is discovered, you must immediately notify us.
5. Use of Credentials
You warrant that you have legitimate authority over all Credentials (API keys, OAuth credentials, auth.json files, GitHub Personal Access Tokens, etc.) registered with the Service. You are responsible for complying with the terms of service of credential providers (OpenAI, Anthropic, GitHub, etc.) and must verify that your use of the Service does not violate such terms. The Service accesses third-party services as your agent, based on your explicit instructions, using your Credentials. We assume no liability for costs incurred from Credential usage or disputes with third-party services arising from Credentials.
6. Fees and Payment
The Service is provided through subscription plans (monthly/yearly) and additional credit purchases. Prices are displayed on each service page (including tax). Payment is processed via credit card (through Stripe). Subscriptions are automatically billed at subscription and renewal, while additional credits are billed immediately at purchase. Service is available immediately after payment completion. Prices may change without notice, but existing subscription agreements will not be affected until the next renewal.
7. Refunds and Cancellations
Due to the nature of digital services, refunds are generally not available after service delivery begins. Subscriptions can be cancelled at any time. After cancellation, service remains available until the end of the billing period. Purchased additional credits are non-refundable.
8. Intellectual Property
Intellectual property rights in the Service's software, design, logos, and other content belong to us or rightful owners. Intellectual property rights in Generated Content produced through the Service are subject to the terms of service of the AI services used (OpenAI, Anthropic, etc.). You are responsible for reviewing applicable AI service terms before using Generated Content.
9. Prohibited Activities
You must not engage in: (1) acts violating laws or public order and morals; (2) acts related to criminal activity; (3) acts that destroy or interfere with Service servers or network functions; (4) acts that infringe rights of other users or third parties; (5) use of fraudulently obtained Credentials; (6) use of the Service to generate malicious code; (7) impersonating us or third parties; (8) any other acts we deem inappropriate.
10. Service Suspension and Termination
We may suspend all or part of the Service in the following cases: (1) when performing system maintenance; (2) when service provision becomes difficult due to natural disasters, power outages, etc.; (3) when deemed necessary for operational reasons. We may terminate the Service by providing 30 days' prior notice. You may terminate your use of the Service at any time by deleting your account.
11. Disclaimer
The Service is provided "AS IS" without any warranties, express or implied. We make no guarantees regarding the accuracy, completeness, quality, security, or fitness for a particular purpose of AI-generated content. You are responsible for conducting thorough review and testing before using Generated Content in production environments. We are not liable for issues arising from failures, specification changes, or usage restrictions of third-party services (OpenAI, Anthropic, GitHub, etc.).
12. Limitation of Liability
We are not liable for any direct, indirect, incidental, special, consequential, or punitive damages (including lost profits, data loss, business interruption, etc.) arising from use or inability to use the Service, even if we have been advised of the possibility of such damages, to the maximum extent permitted by law. Our liability in any case is limited to the amount you paid to us in the month when such damages occurred.
13. Indemnification
You agree to indemnify and hold us harmless from any damages, costs, and liabilities we incur in connection with: (1) your violation of these Terms; (2) disputes with third parties regarding your use of Credentials; (3) claims from third parties arising from your use of Generated Content.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Japan. Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
15. Changes to Terms
We may modify these Terms as needed. For significant changes, we will notify you in advance through notifications on the Service or by email to your registered address. Continued use of the Service after changes constitutes acceptance of the modified Terms.
